Board of Trustees and Executive Committee of Patronato Universitario

The governing bodies of the University Patronato Universitario Fundación Foundation are the Board of trustees and the Executive Committee, which are governed by their statutes. Below is a description of their structure and functions:

The Board of trustees

The Board of Trustees is the governing and representative body of the Foundation. Under its bylwas, It makes decisions by majority vote by the Bylaws . The Board of Trustees is responsible for achieving pursuing the foundational objectives, and didiligently managing the assets and rights constituting the Foundation’s estate and ensuring , maintaining their efficient useperformance and utility. It meets at least twice a year and whenever adequate the proper governance of the Foundation requires it to do so.

The Foundation’s representation, governance, and administration are entrusted exclusively to the Board of Trustees, which will exercises its powers in accordance with the bylaws of the foundation and these Bylaws and current legislation. The Foundation’s Board of Trustees will consists of a minimum of three and a maximum of ten members. Positions within on the Board of Trustees are honorary and trust-based; members therefore thus, their holders will serve without compensation.

President: Francisco Aparicio Valls.
Secretary, non-member: María José Cantón Góngora.
Members: Adolfo José Poveda Díaz, Francisco Javier Llorca Martínez, and Pablo García – Manzano Jiménez de Andrade.

The Executive Committee

The Foundation’s routine administration is delegated to an Executive Committee. This Committee conducts rigorous oversight of the Foundation’s progress, monitors the evolution of financial statements, and analyzes aid requests and compliance with current commitments. It meets at least ten times a year and as needed based on the matters to be addressed. The Committee prepares reports for the Board of trustees’s decision-making.

The Board of trustees may appoint an Executive Committee consisting of a minimum of two and a maximum of four members, with at least one being a Patron of the Foundation. The Executive Committee can be delegated all functions that are typically its responsibility, except for approving financial statements and action plans, amending the Bylaws , merging, and liquidating the Foundation, as well as other functions legally designated as non-delegable or requiring Protectorate authorization. Members of the Executive Committee will be appointed for a five-year term and may be removed at any time by the Board of trustees’s decision.
